Terms of Use

Applies to: All users of AnalysisPlace software, add-ins, APIs, and related services, including the Excel-to-Word Document Automation add-in.

AnalysisPlace is privately funded and managed by Hall Consulting & Research.

1. Acceptance of Terms

By installing or using the software, you agree to:

If there is a conflict between these terms and Microsoft’s Standard Contract, Microsoft’s terms take precedence.

2. License Grant

You are granted a non-exclusive, non-transferable license to use the add-in for internal business purposes, subject to applicable laws and this agreement.

3. Responsibilities

Each party is responsible for its own actions and omissions.

No indemnification obligations are imposed on the customer, except as specified in Microsoft’s Standard Contract.

4. Governing Law

This Agreement is governed by applicable law.

If you are a government entity prohibited from accepting out-of-state jurisdiction, the governing law shall be that of your jurisdiction.

5. Termination

We may terminate this Agreement with 60 days’ written notice for breach.

Immediate termination may occur in cases of unlawful use, security threats, or material violations.

6. Modifications

We may update this Agreement from time to time. Any updated terms will take effect at the start of your next subscription renewal period. By continuing to use the add-in after renewal, you agree to the updated terms. We will provide notice of material changes within the add-in and/or by email prior to the renewal date.

7. Limitation of Liability

Our liability under this Agreement shall not exceed the total subscription fees paid by Customer for the add-in during the twelve (12) months immediately preceding the event giving rise to the claim.

We are not liable for indirect, incidental, or consequential damages, consistent with Microsoft’s Standard Contract.

8. Government Clients

We recognize that government entities may have specific legal requirements.

Upon request, we are willing to provide a modified agreement to meet applicable procurement or statutory obligations. The add-in would be installed outside of the public Microsoft Marketplace listing.

9. Entire Agreement

This agreement, together with Microsoft’s Standard Contract, constitutes the full agreement regarding your use of the add-in.

10. Privacy

Your use of this add-in is also subject to our Privacy Statement, which explains how we collect, use, and protect your personal information. By using the add-in, you consent to the practices described in that policy.
